This Vendor Agreement is made effective by and between Paper Gold Trading Cards LLC ("El Cardboard Trading Card Lounge") of 1005 Main Street, Unit 117, Pawtucket, RI, 02860, Rhode Island, Rescue Gaming Collectibles of 1926 Smith St, North Providence, RI 02911, and the Vendor participating in the TCG Village event.
WHEREAS, the El Cardboard Trading Card Lounge and Rescue Gaming Collectibles are the Organizers and renters of 1005 Main Street located at Pawtucket, Rhode Island 02860 (hereinafter referred to as the "Building"), where the TCG Village will be conducted; and WHEREAS, the Vendor is engaged in the business of selling trading cards or/and other unique products.
NOW, THEREFORE, it is agreed that:
PURPOSE. The Organizers of the event will provide the Vendor space to conduct their business at 1005 Main Street, at TCG Village. The Vendor is limited to the space selected by Organizers as identified prior to the event.
The Vendor accepts the opportunity to participate as a vendor in the Building or outside along the sidewalk (if a food track) for the 5th TCG Village commencing on August 30th, 2025 (Labor Day Weekend), and ending on the same day. The Vendor hereby accepts the following listed conditions and limitations.
The Vendor is guaranteed a minimum of 8 ft long x 4 ft wide inside the Building. If more space is needed, the Vendor is to communicate their needs before making their deposit.
HOURS OF OPERATION. The Vendor shall remain open during the hours they select on this page on August 30th, 2025, unless the Organizers notify the Vendor of other hours of operation or the Vendor receives approval to operate during different hours.
EQUIPMENT. The Vendor is responsible for bringing their own table(s), chair(s), equipment, supplies and display products.
INSTALLATION AND BREAK DOWN. Installation of the Vendor’s booth must begin within the hour before their selected start time. The Vendor’s breakdown must occur immediately after the their selected shift has ended. If the evening shift is selected, the Vendor shall remove their facilities for sale from the Building no later than 9pm on the same day.
APPEARANCE. The Vendor is responsible for cleaning and maintaining the Space provided in an organized and neat manner. Failure to keep the Space in an orderly manner may result in additional removal fees.
EXTRA SERVICES. The Organizers are not obliged to provide telephone, water, electrical, and drain services to the Vendor. The Vendor shall also be responsible for the payment of other charges like electricity, water, and taxes to the relevant authorities. If you need electricity to your booth, you must inform the Organizers before making your deposit to confirm outlet availability.
DISPLAYS AND SIGNS. All displays in the Building must be free-standing. Nothing may attach to the doors or windows of the units in the Building. Signs should not block other vendors' shops.
QUALITY PRODUCTS. The Vendor shall ensure the proper quality of products sold and shall comply with all applicable laws as to sales.
EMPLOYMENT OF STAFF. The Vendor will employ adequate staff at their own cost to operate the Space provided by the Organizers.
INSURANCE. The Vendor is solely responsible for obtaining insurance coverage for any property brought into the Building. The Organizers accept no liability for lost, stolen, or damaged property.
PROFESSIONAL BEHAVIOR. The Vendor agrees to conduct themselves in a professional manner; any harassment or misconduct will result in immediate expulsion without a refund of the deposit.
MARKETING AND PROMOTION.
The Vendor agrees to actively promote the event in the weeks leading up to August 30th, 2025, and understands that visibility and engagement are key to the event’s collective success. Specifically, the Vendor agrees to:
- Provide a high-resolution version of their business logo to the Organizers upon submitting their application. This logo will be used on the event’s website and promotional materials to spotlight each participating vendor.

Promote the TCG Village event on their social media platforms, tagging the official @tcgvillageri Instagram page and TikTok in all related posts.

Reference both event Organizers, El Cardboard Trading Card Lounge and Rescue Gaming Collectibles, in post captions to help build brand recognition for all parties; ideally tagging the organizers on social media posts whenever possible.

Reference both event Organizers, El Cardboard Trading Card Lounge and Rescue Gaming Collectibles, in post captions to help build brand recognition for all parties; ideally tagging the organizers on social media posts whenever possible.
- Share various official event flyers—which will be provided by the Organizers—a minimum of three (3) times per flyer on their social media pages or stories prior to the event date.
- Create at least one unique and creative post about their participation in the TCG Village. This may include what types of products or exclusives they plan to offer, behind-the-scenes setups, or teaser content designed to engage their audience.
- Post at least 1 event flyer within view for their customers to see before the event at their brick & mortar location(s) or traveling business establishment
Failure to fulfill the above marketing expectations may result in reduced promotion from the Organizers in event recaps.
LOCATION. Space locations will be assigned by the Organizers and provided to the Vendor a minimum of 24 hours in advance of the Event.
POST-EVENT REPORTING. To support the growth and continued success of the TCG Village event series, the Vendor agrees to participate in a brief post-event reporting process. The Vendor shall submit the following information to the Organizers at the end of their vending shift or no later than 7 days after the event:

Total gross sales made during the event;

Peak hours of customer traffic and engagement at their booth.
This data will be used confidentially and solely for internal review to improve event planning, enhance customer flow, and increase vendor revenue opportunities at future TCG Village events. Individual Vendor data will not be shared publicly or with other vendors.
Failure to submit this report may impact the Vendor’s eligibility for early access registration or promotional features at future events.
Minimum Revenue Guarantee:
If Ja Patty does not earn a minimum of $600 in revenue from 1:00 PM to 7:00 PM on the day of the event, the Host agrees to pay the difference, ensuring Ja Patty receives a total of $600 for the day.
CANCELLATION & REFUNDS. Deposits are refundable up to 30 days before the event. Last minute cancellations are non-refundable. Management reserves the right to make exceptions to this policy in the event that an emergency occurs.
This Agreement becomes valid and effective upon the Vendor’s deposit of the selected fee on El Cardboard Trading Card Lounge's website. No further signatures are required for this Agreement to be in full effect upon the payment made on this page.
INDEMNIFICATION. The Vendor agrees to indemnify and hold the Organizers harmless from all claims, losses, expenses, fees, including attorney fees, costs, and judgments that may arise due to the acts or omissions of the Vendor or their employees, agents, or representatives.
DEFAULT. The following shall constitute a material default under this Agreement:
a. The failure to make a required payment when due.
b. The insolvency or bankruptcy of either party.
c. The failure to make available or deliver the Services in the time and manner provided for in this Agreement.
REMEDIES. In case of default, the non-defaulting party may terminate the Agreement by providing written notice to the defaulting party, giving 10 days to cure the default unless waived by the notifying party.
UNFORESEEN CIRCUMSTANCES. If performance is delayed or prevented by unforeseen events beyond control, obligations will be paused until resolved.
ARBITRATION. Any disputes under this Agreement shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
ENTIRE AGREEMENT. This Agreement contains the entire agreement between the parties, superseding any prior agreements.
GOVERNING LAW. This Agreement shall be governed by the laws of the State of Rhode Island.
SIGNATORIES. This Agreement shall be effective upon payment of the deposit on El Cardboard Trading Card Lounge's website.
